SOLAREDGE STORE TERMS OF USE AND SALE

These Terms of Use and Sale (the “Terms”) are a binding legal agreement between you (“Client”, “you”, “your”) and SolarEdge Technologies Inc. or any of its affiliates (“SolarEdge”, “we”, “us”, “our”) for your access and use of the SolarEdge Store  website and your purchase and use of the services and/or products that may be made available on the SolarEdge Store (the “Services” and the “Products” respectively). You agree to be bound by these Terms or you represent that you have the authority to bind the person (including any residential, commercial or other owner of SolarEdge products) you name as a user of the SolarEdge Store or the purchaser/beneficiary of the applicable Services/Products. If you do not have such authority or you do not agree with these Terms, please do not use the SolarEdge Store or purchase any Services/Products.

We may update these Terms from time to time. SolarEdge will post the revised Terms with a new effective date. By accessing the SolarEdge Store or purchasing and using the Services/Products, you accept these Terms and any modifications we make. It is your responsibility to review the most recent version of the Terms and remain informed of any changes to it. If you continue to use the SolarEdge Store, Services/Products after we modify these Terms, you will be deemed to have consented to the modified Terms for your use of the SolarEdge Store, Services/Products as of the date of the modification.

The following are hereby incorporated into these Terms and shall be deemed an integral part hereof:

 

  1. SOLAREDGE STORE AND CONTENT.

SolarEdge owns the copyright in the SolarEdge Store and all statements, information, trademarks, service marks, trade names and other content in the SolarEdge Store, including its overall appearance, graphics design and underlying source files. The entire contents of the SolarEdge Store are protected by copyright and/or other intellectual property rights. SolarEdge’s name and all Service/Product names and logos referenced in the SolarEdge Store are trademarks or service marks of SolarEdge and may not be used without prior written permission from SolarEdge. Nothing contained in the SolarEdge Store should be construed as granting any license or right to use any of these marks or logos. Any unauthorized reproduction, modification, distribution, or performance of any SolarEdge Store content is strictly prohibited. SolarEdge and its licensors reserve all rights not granted in these Terms.

  1. ACCOUNT CREATION AND YOUR OBLIGATIONS.

In order to purchase the Services/Products, we may ask you to create an account on the SolarEdge Store (“Account”). You may also be able to purchase the Services/Products as a guest on the SolarEdge Store. By creating an Account and/or purchasing the Services/Products as a guest, you represent and warrant that (i) you are at least eighteen (18) years old, (ii) all required registration, purchase or other information you submit is true and accurate; and (iii) you will update and maintain the accuracy of such information. When you create an Account, you may be asked to choose a username and password. You are responsible for maintaining the confidentiality of your username and password. You are required to notify us immediately if you suspect any unauthorized access to your Account or password. We may change the parameters for the password and require you to change your password. You may not provide your username and password to any other individual or allow or enable any third party to use your Account, username or password (except to an authorized installer of your SolarEdge system if they are assisting you in setting up your Account). You are solely responsible for any and all use of your Account. SolarEdge is not liable for any loss or damage arising from your failure to comply with the requirements hereunder.

By accessing and using the SolarEdge Store (both as an Account owner or a guest), you agree that you will not, and will not permit any third party in any way, to:

  1. Use the SolarEdge Store and/or any Services/Products in violation of these Terms, any applicable law or regulation;
  2. Use or launch any automated system, including without limitation, any “robots”, “spiders”, or “offline readers”, that accesses the SolarEdge Store in a manner that sends more request messages to the SolarEdge servers in a given period of time than a human can reasonably produce in the same period by using a conventional on-line web browser;
  3. Use or launch any data mining or any similar data gathering and extraction tools, in connection with the SolarEdge Store (including by using software, scripts or automated agents and bots);
  4. Use the SolarEdge Store in any manner that damages, disables, overburdens, or impairs the SolarEdge Store, or SolarEdge systems or servers, and/or otherwise interferes with any other party’s use and enjoyment of the Site;
  5. Mirror or frame the SolarEdge Store or any part of it on any other website or web page;
  6. Attempt to gain unauthorized access to any part of the SolarEdge Store and/or information available on the SolarEdge Store; and
  7. circumvent or attempt to circumvent any security or access control measures of the SolarEdge Store.

We reserve the right to suspend or terminate your Account and/or your use of the SolarEdge Store with or without prior notice at our sole discretion if you violate these Terms or engage in fraudulent or unlawful behavior.

  1. SERVICES AND PRODUCTS.

You agree and acknowledge that, as a pre-condition to any purchase of Services/Products on the SolarEdge Store, the SolarEdge system for which you purchase such Services/Products (a “System”) must be registered with and connected to the SolarEdge Monitoring Platform.

The descriptions and specifications of the Services and Products on the SolarEdge Store are subject to change at any time. All details, criteria, and timelines specified on the SolarEdge Store or an  Order (as defined below) with respect to the Services/Products shall constitute an integral part of these Terms.

We may modify, limit availability, suspend or discontinue any or all of the SolarEdge Store and/or Services or Products at any time, for any or no reason, in our sole discretion.

Your purchase and use of some of the Services/Products available on the SolarEdge Store are further subject to the specific terms and conditions, including without limitation (each of which shall be deemed an integral part of these Terms):

  1. For SolarEdge Power Care (Lite & Premium) – see SolarEdge Power Care Addendum;
  2. For SolarEdge Data Plans – see SolarEdge Communication Plans Terms and Conditions available at https://knowledge-center.solaredge.com/sites/kc/files/se-communication-plan-terms-and-conditions-eng.pdf;
  3. For SolarEdge Monitoring Ownership & Access Management or Installer Monitoring Site Transfer – see Ownership and Access Addendum
  4. Where a Service includes a visit to the premises where your System is installed (a “Site”) – see SolarEdge Site Visits Addendum.

By accessing the SolarEdge Store and purchasing and using the Services/Products, you accept the specific and additional terms and conditions applicable to such Services/Products and any modifications thereto. In the event of any inconsistency between these Terms and the specific terms and conditions set forth above, the specific terms and conditions shall prevail.

  1. EXCLUSIONS.

The provision of Services/Products are limited to the SolarEdge products and/or Site explicitly identified in the corresponding Order(s) (as defined below).

SolarEdge’s obligation to perform the Services and/or supply the Products shall in any event be subject to the installation of each System in a proper manner in accordance with the applicable SolarEdge Limited Product Warranty then in effect. You shall not receive any benefits under these Terms in connection with any  performance, non-performance, delay or any other failure of the Services and/or the Products caused by or associated with:

  1. Conditions beyond our reasonable control, including those resulting directly or indirectly from a force majeure event;
  2. Any failure of internet or telecommunication networks;
  3. Your failure to comply with these Terms, including the addendums hereto;
  4. Issues caused by non-SolarEdge hardware or third-party equipment;
  5. Other exclusions outlined in the applicable SolarEdge Limited Product Warranty then in effect.

Your use of the SolarEdge Store and/or the Services/Products shall not extend, modify, or otherwise affect the applicable SolarEdge Limited Product Warranty then in effect in any way. Any warranty extension, if applicable, shall be entirely separate and hereby excluded from these Terms.

  1. ORDERING PROCESS.

Once you select the Services/Products you wish to purchase, you will be asked to complete details such as your Site ID and address. When you proceed to the checkout process, you will be asked to provide your billing and payment information, as well as accept these Terms and our Privacy Policy. By clicking the “Place Order” button, you will be submitting your order to SolarEdge (an “Order”).

Upon receipt of your Order, we will send you an email or other notification confirming its receipt. For Services, confirmation of the receipt of your Order is deemed final acceptance of your Order. Orders for Products are accepted when you receive notice that the applicable Product has been shipped. You will also receive the invoice and receipt relating to your Order.

  1. SERVICE TERM

    Services may be offered on a time-time, annual subscription, or monthly subscription basis, as set forth in their applicable descriptions. Subject to any cancellation rights of SolarEdge or you under these Terms:
    1. Annual subscriptions shall be automatically renewed upon the end of the applicable service period. We will notify you 30 days prior to such renewal and give you the right to opt out of such renewal.
    2. Monthly subscriptions shall be automatically renewed at the end of each monthly service period.


  2. FEES AND PAYMENT.

    The prices listed on the SolarEdge Store for a Service will apply to the term of such Service specified in its description. If you purchase a Service that is charged recurringly or periodically, you accept and authorize us and/or our Payment Processor Vendor (as defined below) to automatically charge your payment method accordingly until the end of the applicable Service term, subject to any cancellations.

    Unless otherwise indicated, the prices listed on the SolarEdge Store include the applicable statutory value-added taxes but do not include sales tax, shipping, and handling charges, as applicable. You will have the opportunity to review prices and any sales tax, shipping, and handling charges, where applicable, prior to submitting your Order.

    You agree to pay all fees and charges for the Order you place through the SolarEdge Store. Your payment method will be charged when you place your Order. We reserve the right to verify the identity of the credit card holder by requesting appropriate documentation. If non-payment occurs due to a failed credit card transaction, we may terminate the applicable Order. We may change the credit and debit cards we accept without notice. You are solely responsible for any and all fees charged to your credit card by the issuer, bank, or financial institution including, but not limited to, membership, overdraft, insufficient funds, and over the credit limit fees. You agree to notify us about any billing problems or discrepancies within 90 days after they first appear on your account statement. If you do not bring them to our attention within 90 days, we will assume you accept the charge, and we may not be able to assist you in obtaining a refund.

    We use third-party payment service providers to process your payments (“Payment Processing Vendor”). By making a purchase on the SolarEdge Store, you acknowledge and agree that you may be directed to Payment Processing Vendor’s portal during the checkout process, must authorize Payment Processing Vendor to process your payment and may have to accept further general terms and conditions in order to effect payments. You further acknowledge and consent that Payment Processing Vendor will process and store your personal information and payment data in accordance with its own privacy policy. We are not responsible for any errors or problems you may have with our Payment Processing Vendor. We do not store your full credit card information, it is handled by Payment Processing Vendor in accordance with their security practices.

    SolarEdge reserves the right to update the fees and charges for Services/Products from time to time, provided that (i) any increase shall only apply to Orders placed after the effective date of such increase; and (ii) with respect to recurring or periodically charged Services, SolarEdge shall provide at least thirty (30) days’ advance written notice prior to the effective date of any proposed fee increase.

    1. CANCELLATION AND REFUNDS.

      You can cancel an Order by reaching our support team at store-us-contact@solaredge.com .

      For one-time Services – you may cancel your Order within 14 days of purchase and receive a full refund if the applicable Service has not yet been provided. Once such Service has been provided, or the 14 day-period has elapsed, the purchase is non-refundable, unless required by law.

      For Services with an annual subscription that is paid upfront – you may cancel your Order within 14 days of purchase and receive a full refund. After this period, the subscription remains active for the full term of the applicable Service and is non‑refundable, unless required by law.

      For Services with a monthly subscription –

      1. If you are resident in the EU, you may withdraw your Order within 14 days of purchase. If the applicable Service has already started, you will receive a pro-rata of the unused portion of the billing period. After the 14-day withdrawal period, you may cancel your Order at any time. Cancellations shall take effect at the end of the current billing period, and you will retain access to the applicable Service until then. No refunds shall be provided for unused time.
      2. If you are resident in the US, you may cancel your Order at any time. Cancellations shall take effect at the end of the current billing period and you will retain access to the applicable Service until then. No refunds shall be provided for unused time.

    2. DISCLAIMER.

      YOUR USE OF THE SOLAREDGE STORE AND/OR THE SERVICES/PRODUCTS, INCLUDING, WITHOUT LIMITATION, YOUR USE OF ANY CONTENT ACCESSIBLE THROUGH THE SOLAREDGE STORE AND YOUR INTERACTIONS AND DEALINGS WITH ANY PERSONNEL PROVIDING THE SERVICES, IS AT YOUR SOLE RISK. THE SOLAREDGE STORE, ALL CONTENT AVAILABLE ON AND THROUGH THE SOLAREDGE STORE, AND THE SERVICES/PRODUCTS THEMSELVES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAW, SOLAREDGE EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SOLAREDGE DOES NOT WARRANT UNINTERRUPTED OR ERROR-FREE USE OR OPERATION OF THE SOLAREDGE STORE AND/OR THE SERVICES OR YOUR ACCESS TO ANY CONTENT. SOLAREDGE DOES NOT WARRANT THE SOLAREDGE STORE, ANY CONTENT THEREIN OR THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. NO ADVICE, RECOMMENDATION, OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM THE SOLAREDGE STORE AND/OR THE SERVICES WILL CREATE ANY WARRANTY THAT IS NOT EXPRESSLY STATED IN THESE TERMS. SOME JURISDICTIONS MAY PROHIBIT A DISCLAIMER OF IMPLIED WARRANTIES, AND YOU MAY HAVE OTHER RIGHTS THAT VARY FROM JURISDICTION TO JURISDICTION. WITHOUT LIMITING THIS SECTION, SOLAREDGE MAKES NO WARRANTIES WHATSOEVER, EXPRESS OR IMPLIED, REGARDING THE ACCURACY, COMPLETENESS, TIMELINESS, OR USEFULNESS OF ANY INFORMATION CONTAINED OR REFERENCED IN THE SOLAREDGE STORE AND/OR THE SERVICES, INCLUDING ANY DATA OR REPORTS. TECHNOLOGY CHANGES FREQUENTLY AND THEREFORE INFORMATION CONTAINED IN THE SOLAREDGE STORE AND/OR THE SERVICES MAY BE OUTDATED, INCOMPLETE OR INCORRECT. SOLAREDGE DOES NOT ASSUME ANY RISK WHATSOEVER FOR YOUR USE OF THE SOLAREDGE STORE, SERVICES/PRODUCTS OR THE DATA CONTAINED THEREIN.

      1. LIMITATION OF LIABILITY.

      NOTWITHSTANDING ANYTHING ELSE IN THESE TERMS OR OTHERWISE, AND TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAW, YOU EXPRESSLY UNDERSTAND AND AGREE THAT SOLAREDGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR BUSINESS INTERRUPTIONS, LOSS OF PROFITS, BUSINESS OPPORTUNITIES, USE, LOSS OF POWER OR OTHER LOSSES, RESULTING FROM OR IN CONNECTION WITH (i) THE SOLAREDGE STORE, (ii) THE SERVICES/PRODUCTS, (iii) THE USE OR INABILITY TO USE THE SOLAREDGE SHOP OR THE SERVICES/PRODUCTS, (iv) THESE TERMS, WHETHER FORESEEABLE OR UNFORESEEABLE, REGARDLESS OF WHETHER EITHER PARTY HAS BEEN ADVISED OF THE POSSIBILITY OR LIKELIHOOD OF SUCH DAMAGES OCCURRING, WHETHER OR NOT BASED ON TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, BREACH OF CONTRACT OR BREACH OF WARRANTY OR ANY OTHER THEORY. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SOLAREDGE STORE, THE SERVICES/PRODUCTS, OR WITH ANY OF THESE TERMS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SOLAREDGE STORE AND/OR THE SERVICES/PRODUCTS, AS APPLICABLE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, IN WHICH CASE THE ENTIRE, TOTAL CUMULATIVE LIABILITY OF SOLAREDGE AND ANY OF ITS AFFILIATES, UNDER ANY PROVISION OF THESE TERMS AND/OR IN CONNECTION WITH THESE TERMS, THE SOLAREDGE STORE AND THE PROVISION OF THE SERVICES/PRODUCTS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU FOR SUCH SERVICES/PRODUCTS. THE FOREGOING LIMITATIONS, EXCLUSIONS AND DISCLAIMERS SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

      1. INDEMNITY.

      You will defend, indemnify and hold harmless SolarEdge, its affiliates, and their respective directors, officers, agents, employees, licensors, and suppliers from and against any costs, damages, expenses, and liabilities (including, but not limited to, reasonable attorneys' fees) arising out of or related to (i) your use of the SolarEdge Store, and/or the Services/Products, (ii) your violation of these Terms, or (iii) your violation of any rights of a third party.

      1. MISCELLANEOUS.

      These Terms are governed and interpreted exclusively pursuant to the laws of Delaware notwithstanding any principles of conflicts of law. The parties agree to submit to the exclusive venue of the appropriate courts located in Delaware in relation to any dispute or other matter that may arise in relation to these Terms. These Terms, including the addendums and the SolarEdge Limited Product Warranty referenced and incorporated herein, constitute the entire agreement between SolarEdge and you with regard to the SolarEdge Store and the Services/Products. Our waiver of any breach or default under these Terms shall not constitute a waiver of a waiver of such right or provision or any subsequent breach or default. If any provision of these Terms is held to be invalid or unenforceable, the remaining portions will remain in full force and effect, and the invalid or unenforceable provision will be modified to achieve its original intent and economic effect. You may not assign your rights or obligations in connection with the Services/Products purchased under an Order without the prior consent of SolarEdge. SolarEdge may assign its rights and obligations under these Terms freely. Any unauthorized assignment will be void. You agree that by using the SolarEdge Store and the Services/Products, all notices or other communications which we may be required to give you arising from our obligations under these Terms or the Services/Products may be sent to you in any form that we deem appropriate. These Terms may be translated into other languages for convenience, however, the English version shall be the authoritative version. In case of any discrepancy, inconsistency, or conflict between a translated version and the English version, the English version shall prevail and govern.       SolarEdge Power Care Addendum

      1. GENERAL.

      SolarEdge Power Care services cover one Site with up to two single-phase inverters that are connected to the SolarEdge Monitoring Platform and communicating. The Site must have operated according to applicable specifications at least once in the 30 days prior to plan registration.

      SolarEdge Power Care services will only be provided for SolarEdge products still under warranty as per the terms of the applicable SolarEdge Limited Product Warranty then in effect. SolarEdge is not responsible for providing support or troubleshooting for non-SolarEdge network devices, including routers, modems, and other internet connectivity equipment. SolarEdge is also not responsible for any interruptions in solar system monitoring due to local internet service provider (ISP) outages or for any interruptions in solar system performance due to local power outages.

      SolarEdge has the right to reject applicants from a SolarEdge Power Care service plan and refund the payment if the enrollment criteria are not met.

      1. SolarEdge Power Care Lite

      SolarEdge Power Care Lite includes biweekly monitoring of a Site, and remote fix of issues under warranty scope where needed/applicable, monthly reports on production and summary of issues identified and/or resolved sent via email, VIP service access via a dedicated email for enrolled customers.

      In case a product replacement is needed, SolarEdge will ship the replacement product to your Site. You can contact any certified PV installer of your choice to perform the work. The SolarEdge Power Care Lite service does not include or cover replacement labor costs.

      1. SolarEdge Power Care Premium

      SolarEdge Power Care Premium includes biweekly monitoring of the Site, and remote fixing of issues under warranty scope where needed/applicable, monthly reports on production and summary of issues identified and/or resolved sent via email, VIP service access via a dedicated email for enrolled customers, and Site Visits to replace or repair defective SolarEdge products under warranty scope when remote resolution is not possible. SolarEdge Power Care Premium is offered exclusively in the following states: Arizona, California, Colorado, Connecticut, District of Columbia, Florida, Maryland, Massachusetts, Nevada, New Jersey, New York, Rhode Island, and Texas Metropolitan areas (Dallas-Fort Worth-Arlington, Houston-Pasadena-The Woodlands, San Antonio-New Braunfels, Austin-Round Rock-San Marcos).

      SolarEdge inverters, Home Batteries, EV Chargers, Nexis Link and communication devices will have a field service dispatch case created upon identification of a failure that is covered under the applicable SolarEdge Limited Product Warranty then in effect. SolarEdge Power Optimizers will have a Site visit case created when more than 10% of Power Optimizers on the applicable Site need service. An accurate Power Optimizer physical site map layout is needed to perform Power Optimizer swaps. If the physical site map layout is not available or inaccurate, Power Optimizer replacement shall not be covered under this Service.

      The SolarEdge Power Care Premium service does not provide coverage for (i) troubleshooting of third party energy storage devices such as with LG or Tesla batteries, (ii) third-party EV charging equipment, (iii) Power Optimizer coverage for any building-integrated photovoltaics (BIPV), , (iv) cleaning services, (v) services for items not directly related to the solar system such as roof repair or replacement, (vi) electrical work on third party balance of system components (e.g., mounting, racking, wiring, cabling, disconnects, combiner box, circuit breakers, fuses and grounding equipment)(vii) Power Optimizer replacement for physical layouts not published in the SolarEdge Monitoring Platform,(viii) problems arising out of acts of nature, (ix) unauthorized system modifications, or (x) cosmetic damage.

      Ownership and Access Addendum

      1. SCOPE.

      The terms set forth in this addendum apply to the following Services:

      1. SolarEdge Monitoring Ownership & Access Management
      2. Installer Monitoring Site Transfer

      (each an “Access Service”).

      1. SPECIFIC TERMS.

      By purchasing an Access Service, you represent and warrant that:

      1. You are the lawful legal owner of the System identified in an Order or acting lawfully on behalf of such legal owner; and
      2. The information you provided in an Order is complete and accurate.

      You acknowledge that SolarEdge will provide Access Services in reliance on your representations and warranties and does not assume any responsibility for verifying the accuracy, legality, or validity of the information you provide when purchasing any Access Services. You accept full liability for any wrongful or misleading information you may have provided. Accordingly, to the maximum extent permitted by law, you hereby release SolarEdge and its affiliates, employees, directors, legal representatives, and assigns (“SolarEdge Parties”) from any and all claims, demands, or liabilities arising out of or related to your purchase of the Access Services or provision of such services, including but not limited to any disputes between you and any third party regarding ownership, rights, or access.

      You will, at your own expense, defend and indemnify SolarEdge and SolarEdge Parties from and against any claims, suits, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) brought by any third party resulting from or relating to the provision of Access Services and/or representations or warranties provided under this addendum.

      For the avoidance of doubt, any third party that gains access to your System as a result of your purchase of the Access Services shall be bound by SolarEdge Software License Terms and Conditions that govern use of the SolarEdge Monitoring Platform, available at https://monitoring.solaredge.com/one#/license?locale=en_US.

       

       

      SolarEdge Site Visits Addendum

      Some of the Services available on the SolarEdge Store may need to be provided by SolarEdge, its service providers, subcontractors or representatives (“SolarEdge Representatives”) at a Client’s Site (a “Site Visit”).

      1. ENROLLMENT CRITERIA FOR SITE VISITS.

      Without derogating from any criteria which may be detailed in the confirmation of an Order:

      1. The Client shall be responsible for ensuring that the Site is safe and accessible for all SolarEdge or SolarEdge Representative personnel involved in the provision of the Site Visit. This includes, without limitation, providing clear and unobstructed access to the Site, maintaining a clean and hazard-free environment, and adhering to all local building codes and applicable safety laws and regulations. The Client must ensure that any pre-existing conditions, such as structural deficiencies or electrical faults, are addressed prior to work commencement. Additionally, the Client is expected to collaborate with the SolarEdge or SolarEdge Representative personnel conducting the Site Visit by providing necessary information about the Site, facilitating any required permits or authorizations, and promptly communicating any potential risks or concerns that could impact the safety and efficiency of the Site Visit. The Site eligibility requirements for the Services may vary in certain jurisdictions.
      2. The Site and the Client shall have relevant insurance that will cover damages that may happen during the Site Visit.
      1. EXCLUSIONS.

      SolarEdge shall not be liable for any loss or damage in case the schedule date of a Site Visit is changed due to unforeseeable circumstances.

      SolarEdge or any of the SolarEdge Representatives will take every reasonable precaution in conducting the Site Visit.

      SolarEdge will not be responsible for:

      1. the structural integrity of the Site;
      2. any roof leaks or damages, other than where SolarEdge had to alter or drill into tiles or roof sheeting;
      3. any effect the Site Visit may have on any third party product warranty;
      4. any damage to the Site which is not due to SolarEdge or any of the SolarEdge Representatives, including any damages that occur due to improper installation of your SolarEdge residential system, or any other non-compliance with the applicable SolarEdge Limited Product Warranty terms.
      5. any pre-existing condition, fault or defect relating to the Site (including without limitation circumstances related to structural integrity, hidden defects, electrical wiring or cabling, gas or water pressure and the status or mounting of consumption meters); or
      6. damages caused, directly or indirectly, by the negligence or breach of the Terms by the Client.

      The entire liability of SolarEdge and the SolarEdge Representatives in connection with a Site Visit shall not exceed the amounts you paid in connection with the Service that require such Site Visit. In no event shall SolarEdge be liable to you for any special, consequential, punitive, incidental, or indirect damages, however caused, including, without limitation, loss of business, revenue, profits, goodwill, use, or other economic advantage, however they arise, whether in breach of contract, breach of warranty, or in tort, including negligence, and even if SolarEdge has previously been advised of the possibility of such damages.

      1. EQUIPMENT ACCESSIBILITY.

      You agree to provide unencumbered access to all the parts of your SolarEdge system, and, if applicable, internal and external equipment including the solar electric panel, the electrical panel for the home, and the communication devices. Failure to do so may result in inability to perform the needed activity and the Site Visit, and SolarEdge will no longer be obligated to honor any warranties or be liable for any property damage if adequate accessibility is not provided.

      1. SCHEDULING.

      Unless otherwise noted or agreed elsewhere, the following scheduling terms shall apply:

      1. Site Visits will be performed during normal business hours, 8:00am – 4:30pm local time, Monday to Friday.
      2. In case a Site Visit is required, SolarEdge will contact you to schedule a visit (via phone, SMS, or email). Please note that in the event any calls/SMS/emails go unanswered by the designated contact provided by you, SolarEdge reserves the right not to perform the work.
      3. SolarEdge shall make a minimum of two (2) consecutive attempts per incident for the planning of a Site Visit. In the event a planned Site Visit is missed for which SolarEdge made a minimum of two (2) consecutive attempts to schedule it, there will be no adjustment to the fees charged and/or paid under these Terms.
      4. In the event a Site Visit is cancelled by you, after it has been approved and the materials have been ordered, a cancellation fee may apply.
      5. It is your responsibility to notify SolarEdge as soon as possible of any change in your contact information.
